摘要: 本論文的目的在於企業講求核心競爭力,處處刮起購併旋風的同時,為購併後工廠的整合決策過程中提供以簡易多屬性評等技術(SMART)作為一種應用方法的案例探討,而且是以台灣的外資農藥廠作為研討對象,希望就不同國籍的企業營運暨決策模式以及農藥行業的業務特性提供業界一個決策案例。 本案例先就農藥產業的概況、產銷型態以及所屬供應鏈的種類作介紹後,再介紹整個企業購併的背景以及原因,並導出工廠必需整合的必要性,依實例規範出工廠整合的步驟及匯整出整合的14項決策因子,再依序說明及解釋各項因子的定義,以及列入決策考慮的原因及實際的數據。最後應用簡易多屬性評等技術(SMART)找出不同方案的價值,而對被整合的工廠作出最佳的決策。 在本案中可以明顯地看到農藥的特殊屬性,造成對於各項決策因子相當程度的影響以及不同國籍的全球性企業,不同類型的企業經營模式是主宰整合的決定因素。
To increase the competitive advantage, the merge and acquisition (M&A) is one of the mostly taken strategies of a global company in the late 1990s. In this thesis, a multi-attribute decision making procedure, SMART (Simple Multi-Attribute Rating Technique), is employed to solve a case of factory integration after M&A. The studied case involves two famous foreign invested agriculture chemical plants, one Germany-branded and the other one American-branded, in Taiwan First of all, the general information of pesticide industry is introduced. The background of M&A between these two global companies is also described. Fourteen decision attributes are identified and explained thereafter. The implementation of SMART is discussed and decisions as well as conclusions are made at last.
